Terms of service

Last updated: August 24, 2026

The agreement

These terms are an agreement between you and Schmidt Innovation LLC (“Satchel,” “we,” “us”) governing use of the Satchel practice-management service, including the application, client portal, and practice websites we host (together, the “Service”). By creating an account or using the Service, you accept them. If you are accepting on behalf of a veterinary practice, you confirm you have authority to bind that practice.

What Satchel is (and is not)

Satchel is software for running a veterinary practice: charting, scheduling, invoicing, messaging, and related tools. Satchel does not provide veterinary care, medical advice, or emergency services. All clinical decisions, records, and communications belong to the practice and its licensed veterinarians. If your pet has an emergency, contact a veterinarian or emergency clinic directly; do not rely on the portal or messaging.

Accounts and responsibilities

  • Keep your credentials confidential and tell us promptly about any unauthorized use of your account.
  • Provide accurate information, and keep contact details current.
  • Practices are responsible for the actions of their staff accounts and for setting appropriate roles.
  • Practices are responsible for complying with the laws that govern their practice, including veterinary licensing, record retention, controlled-substance logging, and communication consent rules. Satchel provides tools that support compliance; using them correctly is the practice's responsibility.

Acceptable use

You agree not to:

  • Access data belonging to another practice or another client, or probe the Service's security.
  • Use the messaging features to send spam or messages recipients have not consented to receive.
  • Upload content that is unlawful or that infringes someone else's rights.
  • Resell, sublicense, or white-label the Service without a written agreement with us.
  • Interfere with the operation of the Service or impose an unreasonable load on it.

Your data is yours

As between you and Satchel, the practice owns its records: clinical notes, client lists, invoices, documents, all of it. We claim no rights to your data beyond what is needed to run the Service. You can export your data at any time, and if you leave Satchel we will provide a complete export. Our privacy policy describes how we handle information.

Client messaging

The Service can send text messages and emails to a practice’s clients. Practices must have consent to contact each recipient and must honor opt-outs; Satchel enforces STOP/START handling automatically for SMS. Message and data rates may apply to recipients. Delivery depends on carriers and other third parties and is not guaranteed, so time-critical clinical communication should not rely on it.

Payments and fees

Online card payments are processed by Stripe under Stripe’s own terms; practices that enable them connect their own Stripe account, and Satchel never holds client funds. Subscription pricing for the Service is set out in your order or onboarding agreement with us. Fees are exclusive of taxes, which are your responsibility.

For pet owners using the client portal

The portal and practice websites are provided so you can see your pet’s records, book visits, fill out forms, and pay invoices with the practice that serves you. Your relationship for veterinary care, billing disputes, and record questions is with the practice. Portal access may be changed or withdrawn by the practice at any time.

Availability and changes

We work to keep the Service available and dependable, but it is provided without a guarantee of uninterrupted operation: maintenance, upgrades, and events outside our control can cause downtime. We may improve or change features over time; if we discontinue the Service or a material part of it, we will give practices reasonable notice and time to export their data.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SATCHEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS THE PRACTICE PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE (OR $100 IF NO FEES WERE PAID). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

Termination

Practices may stop using the Service at any time. We may suspend or terminate access for material breach of these terms, non-payment, or conduct that threatens the Service or other customers, with notice and a chance to cure where practical. After termination, the practice keeps the right to a full export of its data, and we handle retained data as described in the privacy policy.

General

  • Governing law: these terms are governed by the laws of the State of Nebraska, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Nebraska.
  • Changes to these terms: we may update these terms; material changes will be dated above and notified to practices. Continued use after a change means the updated terms apply.
  • Entire agreement: these terms, the privacy policy, and any order or onboarding agreement are the whole agreement between us about the Service. If any provision is unenforceable, the rest remain in effect.
